1. Acceptance of These Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and PicCal, Inc. ("PicCal," "we," "us," or "our") governing your access to and use of the PicCal mobile applications, websites, and related services (collectively, the "Service"). By downloading, installing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy (the "Privacy Policy"). If you do not agree to these Terms, do not access or use the Service.

2. Service Description

PicCal uses image analysis and other technologies to identify information contained in photographs or uploaded images, then transforms that information into suggested calendar events ("Suggested Events") that you may add to your personal calendars through integrations with Apple Calendar, Google Calendar, or other third-party calendar services (each, a "Calendar Service").

PicCal strives to present Suggested Events that are clear and useful; however, PicCal does not guarantee the completeness, accuracy, timing, or relevance of any Suggested Event. The Service is offered for convenience only and is not a substitute for your own review of event details.

3. Eligibility and Accounts

You must be at least 13 years old (or the minimum legal age in your jurisdiction) to use the Service. By using the Service, you represent that you meet this requirement and that all information you provide to PicCal is truthful and accurate. You are responsible for maintaining the confidentiality of any authentication credentials associated with your account and for all activities that occur under your account.

4. Subscription Terms

PicCal Pro Subscription:

  • Monthly Plan: $1.99/month
  • Annual Plan: $19.99/year (save over 15%)

Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current period. Your account will be charged for renewal within 24 hours prior to the end of the current period at the same price as the original purchase. You can manage and cancel subscriptions in your Apple ID Account Settings after purchase. Any unused portion of a free trial period, if offered, will be forfeited when you purchase a subscription.

Payment Processing: All payments are processed through the applicable App Store (Apple App Store or Google Play Store). PicCal does not directly handle payment information. Prices may vary by region and are subject to change.

Refund Policy: Refunds are handled according to the App Store's policies. For purchases made through the Apple App Store, refund requests must be submitted through Apple. For Google Play Store purchases, refunds follow Google's refund policies.

Free Features: Basic features of PicCal remain available without a subscription. PicCal Pro unlocks premium features including unlimited calendar events, advanced image recognition, priority processing, and additional integrations.

5. User Responsibilities & Review of Suggested Events

  1. Review Required. Before adding a Suggested Event to any Calendar Service, you must carefully review and, if necessary, edit the event details (including but not limited to title, date, time, location, and reminders).
  2. Sole Responsibility. You acknowledge and agree that you are solely responsible for the accuracy, completeness, and suitability of all events added to your calendars, whether created manually or suggested by the Service.
  3. No Reliance. You must not rely on PicCal as your only means of tracking appointments, deadlines, or other obligations. PicCal may misinterpret or fail to extract information, and network or service outages may prevent delivery of Suggested Events.

6. Calendar Integrations & Third-Party Services

PicCal may enable you to connect to Calendar Services and other third-party products or services ("Third-Party Services"). When you use any Third-Party Service, you do so at your own risk under that provider's terms, licenses, and privacy policies. PicCal is not responsible for, and expressly disclaims all liability arising from, the acts or omissions of any Third-Party Service, including the availability or accuracy of data synchronized to or from such services.

7. License Grant & Intellectual Property

PicCal grants you a personal, non-exclusive, non-transferable, revocable, limited license to download and use the Service solely for your personal, non-commercial purposes and strictly in accordance with these Terms. PicCal and its licensors retain all right, title, and interest in and to the Service, including all intellectual-property rights therein.

8. Prohibited Conduct

You agree not to, directly or indirectly:

  • Use the Service in any manner that violates applicable law or infringes any rights of a third party;
  • Upload or transmit any content that is unlawful, harmful, or otherwise objectionable;
  • Reverse-engineer, decompile, disassemble, or attempt to discover the source code of the Service, except where such restriction is prohibited by law;
  • Interfere with or disrupt the integrity or performance of the Service;
  • Bypass or circumvent any measures we may use to prevent or restrict access to the Service.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, OR NON-INFRINGEMENT. PICCAL DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, THAT SUGGESTED EVENTS WILL BE COMPLETE OR ACCURATE, OR THAT THE SERVICE WILL OPERATE WITHOUT INTERRUPTION OR DELAY.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PICCAL, ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST DATA, PERSONAL INJURY, PROPERTY DAMAGE, OR LOSSES RESULTING FROM MISSED, MISREAD, OR INCORRECT EVENTS, EVEN IF PICCAL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL PICCAL'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (US $100) OR (B) THE AMOUNT YOU PAID PICCAL, IF ANY, FOR ACCESS TO THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages; in such cases, the above limitations will apply to the fullest extent permitted by law.

11. Indemnification

You agree to defend, indemnify, and hold harmless PicCal, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (i) your use of the Service; (ii) your violation of these Terms; or (iii) your violation of any rights of another.

12. Modifications to the Service or Terms

PicCal may, at its sole discretion, modify or discontinue the Service (in whole or in part) at any time without liability to you. We may also modify these Terms from time to time. We will post the updated Terms on our website and update the "Last Updated" date at the top. Your continued use of the Service after those changes become effective constitutes your acceptance of the revised Terms.

13. Termination

PicCal may suspend or terminate your access to the Service at any time and for any reason, including for violation of these Terms. Upon termination, the rights and licenses granted to you in these Terms will immediately cease, and Sections 5-16 will survive termination.

14. Governing Law & Dispute Resolution

These Terms and any dispute arising out of or relating to these Terms or the Service will be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Wilmington, Delaware, and you hereby consent to personal jurisdiction and venue therein.

If you are a consumer located in the European Union, you may have additional mandatory rights under local consumer law; nothing in these Terms affects those rights.

15. Compliance With App Store Terms

The following additional terms apply when you access the Service through the Apple App Store or Google Play Store (each, an "App Store"):

  • These Terms are solely between you and PicCal, not with the App Store provider.
  • The App Store provider has no obligation to furnish any maintenance or support services with respect to the Service.
  • To the maximum extent permitted by applicable law, the App Store provider will have no warranty obligation whatsoever with respect to the Service, and any other claims, losses, liabilities, damages, or expenses attributable to any failure of the Service to conform to any warranty are PicCal's responsibility.
  • You acknowledge and agree that the App Store provider (and its subsidiaries) are third-party beneficiaries of these Terms and may enforce these Terms against you as a third-party beneficiary.
